## Course Terms and Conditions

### Key points in plain English

This summary is here to help. The full terms below apply, and if the two differ, the full terms win.

- **Registering is step one.** We check eligibility and may then offer you a place. The place is yours once you accept these terms via the enrolment link and pay the fee.
- **The fee is stated ex GST.** We add GST and invoice when you accept. Pay within 14 days and before the course starts.
- **You can change the name on a place** up to 4 days before the start. The exact date is in Schedule 1.
- **Cancelling:** a full refund if you cancel 14 or more days before the start, 50% from 7 to 13 days, and no refund within 7 days. You can still send a substitute.
- **If we cancel or reschedule,** you get a refund or a transfer to the next run.
- **Our courses use unclassified material only.** Do not bring or share protected or classified information.
- **What is said in the room stays in the room.** Treat other participants’ contributions as confidential and follow the IIP Code of Conduct.
- **Course materials belong to IIP.** Use them in your own professional work and do not copy or pass them on.
- **Your work stays yours.** We may use it in our teaching materials once it is de-identified.
- **Your personal information** is handled under the IIP Privacy and Data Protection Policy.
- **Questions or complaints:** contact us, and we will handle complaints under the IIP Complaints and Appeals Policy.

### 1. About these terms

1.1 These terms form an agreement between The Institute of Intelligence Professionalisation Pty Ltd, ABN 31 686 635 398 (IIP, we, us) and each person or organisation that buys, or is given, a place on an IIP course.

1.2 They apply to every IIP course, workshop and short course (a Course), including pilot courses, unless Schedule 1 or your written Offer says otherwise.

1.3 A Student is the person who attends the Course. A Purchaser is the person or organisation that pays for or arranges the place. If a Student pays for their own place, they are both. If an organisation buys the place, it is responsible for payment and must make sure its Student knows and follows these terms.

1.4 Unless a Course is expressly described as nationally recognised training delivered with a Registered Training Organisation, IIP Courses are not accredited and do not lead to a qualification or a statement of attainment. Where a partner RTO is involved, its terms apply as well

### 2. Registering, offers and enrolment

2.1 Registering on our website is an expression of interest only. It does not reserve a place or create a contract.

2.2 We assess each registration against the eligibility requirements for the Course (the Eligibility Check). We may ask for more information. We may decline a registration, or withdraw an Offer, if the requirements are not met or the information given is incomplete or incorrect.

2.3 If we offer you a place (an Offer), we send an enrolment link. The agreement begins when you accept these terms at that link.

2.4 An Offer lapses if you do not complete enrolment within 7 days, or by the Course’s registration close date if that is earlier, unless we agree otherwise in writing.

2.5 You must give accurate information when you enrol, including any dietary or accessibility needs, and tell us promptly if anything changes.

### 3. Eligibility

3.1 Each Course states who it is for, and any eligibility requirements, in Schedule 1 or the Course description. We apply those requirements consistently to every applicant, and we decide eligibility under the IIP Eligibility Policy.

3.2 The Purchaser confirms that the Student meets the eligibility requirements and, if employed, has their employer’s approval to attend.

3.3 If a Student does not meet the requirements, we may cancel the enrolment and refund the Course Fee in full. If the enrolment was based on information that was false or misleading, we may cancel it without a refund.

3.4 If we decline an application, or withdraw an Offer, because of the eligibility requirements, you can ask for a review under the IIP Complaints and Appeals Policy.

3.5 Our trainers are former Defence staff and are subject to the Safeguarding Australia’s Military Secrets provisions in Part IXAA of the Defence Act 1903 (Cth). We do not accept attendance for, on behalf of, or funded or directed by a military organisation or government body of a foreign country to which those provisions apply, unless each trainer holds any authorisation the provisions require.

### 4. Fees and payment

4.1 The Course Fee is set out in Schedule 1. It is in Australian dollars and stated exclusive of GST. We add GST at the rate that applies, and our invoices are tax invoices.

4.2 Schedule 1 lists what the Course Fee includes. It does not include travel, accommodation, meals not listed, or insurance.

4.3 We invoice when you accept these terms. The invoice is due within 14 days of its date, and before the Course starts if that is earlier.

4.4 On request, we issue invoices to the Purchaser with a purchase order number. The Purchaser owes the Course Fee even if its Student does not attend, except as clause 6 allows.

4.5 If an invoice is unpaid after we send a reminder, we may release the place to someone else. You remain liable for any amount owing under clause 6.

4.6 The fee in your accepted Offer is fixed for that enrolment. A discount applies only if your Offer states it.

### 5. Substituting a student

5.1 You can replace the Student with someone who meets the eligibility requirements, at no charge, up to 4 days before the Course starts. Schedule 1 gives the exact date (the substitution deadline).

5.2 Tell us the new Student’s name and email address. They complete the Eligibility Check and enrol by accepting these terms. If we decline a substitute because they do not meet the requirements, clause 6 applies to the original place.

5.3 After the substitution deadline, we may still accept a substitute, at our discretion.

### 6. Participant cancellation and refunds

6.1 To cancel, the Purchaser or the Student must tell us in writing. The refund depends on how much notice you give, counted in calendar days back from the first day of the Course.

| **Notice given** | **Refund of the course fee** |
| --- | --- |
| 14 or more days before the first day | 100% |
| 7 to 13 days before the first day | 50% |
| Fewer than 7 days, or no attendance | None |

6.2 If you have not yet paid, you owe the part of the Course Fee that is not refundable under the table.

6.3 We pay refunds to the Purchaser, by the original payment method, within 14 days of agreeing the refund.

6.4 There is no refund if a Student attends only part of the Course, leaves early or does not complete it.

6.5 If a Student cannot attend because of serious illness or an emergency, tell us as soon as you can. We will consider a transfer to a later Course or a refund, and may ask for supporting evidence.

6.6 Nothing in this clause limits any right you have under the Australian Consumer Law.

### 7. Changes and cancellation by IIP

7.1 We may change the venue, instructors, timetable or content where it is reasonable to do so. We will tell you as soon as practicable.

7.2 We may cancel or reschedule a Course for any reason, including low numbers. We will tell you as soon as practicable.

7.3 If we cancel a Course, or reschedule it to a date the Student cannot attend, you can choose a full refund of the Course Fee paid or a transfer to another Course.

7.4 We recommend that you book refundable travel and accommodation until the Course is confirmed.

7.5 A pilot course is an early run of a new Course. Its content and timetable may change as a result of the pilot, and we may use participants’ feedback to improve the Course. A pilot course is not accredited.

### 8. Conduct and attendance

8.1 Students must follow the IIP Training Code of Conduct, the venue’s rules and the reasonable directions of our instructors. We give you the Code of Conduct at enrolment.

8.2 We may remove a Student whose conduct seriously or repeatedly breaches the Code, puts others at risk or disrupts the Course. Where it is safe and reasonable, we give a warning first. No refund is payable, and we tell the Purchaser the reason in general terms.

8.3 Students are expected to attend every session. If a Course has a completion or assessment requirement, Schedule 1 says so.

8.4 At the end of a Course we issue a certificate of completion to each Student who meets the completion requirements in Schedule 1.

### 9. Safety, health and accessibility

9.1 Students must follow safety instructions and the venue’s emergency procedures, and should tell us about any condition that we need to know about to keep them safe.

9.2 Tell us about any accessibility needs when you enrol, or as soon as you can. We make reasonable adjustments without lowering the standard of the Course, and we keep this information confidential.

9.3 Where catering is included, tell us your dietary requirements when you enrol. We make reasonable efforts to meet them but cannot guarantee an allergen-free environment.

9.4 Students are responsible for their own travel, insurance and personal property.

### 10. Information handling and confidentiality

10.1 Our Courses use unclassified material. Students must not bring, discuss or share classified or protectively marked information, or anything their employer does not allow them to share.

10.2 If you think protected information has been shared in a session, tell the instructor straight away so that we can deal with it.

10.3 Students must keep other Students’ contributions, and what others say about their own work, confidential. Do not share them outside the Course without the person’s consent. Students may use what they learn in their own work.

10.4 Some Courses use case studies built from public information about real events. They are for teaching. They are not findings about any organisation, and Students must not present them as such.

### 11. Course materials and intellectual property

11.1 IIP and its licensors own the Course materials, including slides, guides, case studies, templates and assessments. Students may use them for their own professional development and work.

11.2 Do not copy, share, publish or sell Course materials, and do not use them to build another training product.

11.3 A Student’s own work remains theirs. We may use feedback to improve our Courses. We may also use a Student’s work, for example in teaching materials, once we have de-identified it, and we do not need written permission to do so. De-identified means we have removed the Student’s name, their organisation and any detail that could reasonably identify them or their organisation.

11.4 Published sources and other third-party material remain the property of their owners.

### 12. Photos and recording

12.1 Do not record audio or video of a Course, or photograph Course materials or other Students, without permission from IIP and the people involved.

12.2 We take photos or video for our own records or promotion only with the Student’s consent, which we ask for at enrolment. A Student can withdraw consent for future use at any time.

### 13. Privacy

13.1 We collect personal information such as your name, contact details, employer, role, nationality, and dietary and accessibility needs. We use it to assess eligibility, run the Course, contact you and improve our Courses.

13.2 We handle personal information under the IIP Privacy and Data Protection Policy and the Privacy Act 1988 (Cth) as it applies to us.

13.3 We store information with service providers, such as cloud and customer management systems, and some of them may hold data outside Australia. We require our service providers to comply with the IIP Privacy and Data Protection Policy.

13.4 We collect sensitive information, such as health-related dietary or accessibility needs, with your consent and use it only to deliver the Course.

13.5 We tell a Purchaser whether a Student attended and completed the Course. We share anything more, such as how the Student performed, only with the Student’s consent.

13.6 You can ask to see or correct your personal information, or ask how we handle it, by contacting [info@intelprofession.com](mailto:info@intelprofession.com).

### 14. Complaints and appeals

14.1 If you have a complaint, tell us at info@intelprofession.com. We handle complaints under the IIP Complaints and Feedback Policy, which is fair, confidential and timely.

14.2 Where a Course includes assessment, a Student can appeal an assessment decision under the same Policy.

14.3 Using the complaints process does not affect your legal rights.

### 15. Liability

15.1 Nothing in these terms excludes, restricts or modifies a right, remedy or guarantee under the Australian Consumer Law or any other law that cannot be excluded.

15.2 To the extent the law allows, our total liability to you for any claim arising from a Course is limited to the Course Fee paid for the Student concerned.

15.3 To the extent the law allows, we are not liable for indirect or consequential loss, including loss of profit, or for travel, accommodation or other costs you incur in connection with a Course.

15.4 We are not liable for loss of or damage to a Student’s property, except to the extent our negligence causes it.

### 16. Events outside our control

16.1 Neither of us is liable for failing to perform an obligation because of an event beyond our reasonable control, such as severe weather, a natural disaster, an instructor’s illness, venue unavailability, industrial action, a government direction or a power or communications failure.

16.2 If such an event stops a Course from running, clause 7.3 applies.

### 17. General

17.1 Notices must be in writing. We send notices to the email address in your enrolment, and you send them to [info@intelprofession.com](mailto:info@intelprofession.com).

17.2 We may update these terms for future enrolments. The version you accept applies to your enrolment.

17.3 These terms, Schedule 1 and your Offer are the whole agreement and replace earlier discussions. If they conflict, the Offer applies first, then Schedule 1, then these terms.

17.4 You cannot transfer your rights under these terms without our consent, except by substituting a Student under clause 5.

17.5 If part of these terms cannot be enforced, the rest continues to apply.

17.6 These terms are governed by the laws of New South Wales, and each of us submits to the courts of that place.

17.7 You accept these terms electronically. We keep a record of the date and time you accept.
